The company derives a significant portion of its revenue from the company's Events Catering business (55.97% and 59.42% of its revenue from operations during the nine months ended December 31, 2024 and Fiscal 2024, respectively). Loss or decline in the demand for catering for events may result in an adverse effect on the company's business, revenue from operations and financial condition.

The company's business is exposed to real and perceived health and safety concerns. Real and perceived health concerns arising from food-borne illnesses, health epidemics, food quality, allergic reactions or other negative food-related incidents could have a material adverse effect on its business, results of operations, financial conditions and prospects.

The Company and certain of its Subsidiaries have incurred losses in the past, and the company may not be able to achieve or maintain profitability in the future. Failures to achieve or maintain profitability may restrict its cash flows and impair the company's ability to raise capital and expand its business.

The company is required to comply with various government regulations, including obtaining licenses, permits, approvals and consents, which are critical for its operations. If the company fails to obtain, maintain or renew its statutory and regulatory licenses, permits and approvals required to operate the company's business, results of operations and cash flows may be adversely affected.

The Company has obtained and applied for registration of several trademarks. If the company is unable to protect its intellectual property and technical know-how against third party infringement or breaches of confidentiality or are found to infringe on the intellectual property rights of others, it could have a material adverse effect on the company's business, results of operations and financial condition.

The company's business is dependent on its brand reputation and goodwill. Any negative publicity, which may lead to the dilution of the company's brand and goodwill, could adversely affect its results of operations, financial conditions, cash flows and reduce the company's profitability.

The company's business is substantially dependent on its permanent employees including the company's chefs and execution team, and inability to retain its permanent employees would have an adverse impact on the company's business, results of operations, financial condition and cash flows.

If the company is unable to identify and obtain suitable locations for opening new banquets, casual dining restaurants or cloud kitchens, it may result in lower footfalls and table turns rates which would adversely affect its anticipated growth in the company's Banquets and Integrated F&B Services business and Casual Dining Restaurants & Cloud Kitchens business. Further, the locations of its existing Banquets, Casual Dining Restaurants and Banquets may become unattractive, which could adversely affect the company's results of operations, financial conditions, cash flows and reduce its profitability.

If the company is unable to foresee or respond effectively to significant competition in the company's business, results of operations and financial condition could be adversely affected. Further, the company's business may be adversely affected if its competitors successfully imitate the company's culinary techniques and presentation methods. The company may also be adversely impacted by any threats and challenges faced by the industry.

The company's business is substantially dependent upon the experience and skill of its Promoter, Directors, Key Managerial Personnel and Senior Management Personnel. Inability or unwillingness of the company's Promoter, or one or more of its Directors to continue in their present positions could adversely affect the company's business. High attrition of its Key Managerial Personnel or Senior Management Personnel could materially impact the company's business and results of operations.
